Rules Association

  1. The ordinary association is called International Watercolor Society Polska (IWS Polska), alternately with the International Watercolor Societ Poland. In the following provisions of the Rules of Procedure, it is called the Association.
  2. The area of operation of the Association is the territory of the Republic of Poland.
  3. For the purposes of the statutory objectives, the association may operate in other countries with respect for the law there.
  4. The seat of the Association is Rybnik (Silesian voivodship).
  5. The Association is established indefinitely. Acts under these Terms and Conditions and the provisions of the Act of 7 April 1989. Law on associations.
  6. The association uses graphic characters (logos) made available free of charge by the International Watercolor Society Globe (IWS Globe).
  7. The activities of the Association are based on the social work of its members. To conduct its affairs, the Association can employ employees, including its members.
  8. The objectives of the Association are:
    1. Promoting and supporting watercolor painting and the achievements of members of the Association;
    2. Encouraging peace and understanding through the use of watercolors and art;
    3. Spreading love and harmony among people;
    4. Enabling people to connect, exchange information, practices and expertise in the context of art, education, life;
    5. Creating conditions for the development of creativity, aesthetics and human values in society;
    6. Education and dissemination of watercolors among society;
    7. Show the talent of Polish artists while promoting international cooperation and social dialogue;
    8. Local development of watercolor art in Poland and the creation of global connections with other countries and cultures;
    9. Being part of the IWS Globe family and working with it to promote watercolor art.
  9. The Association achieves its objectives by:
    1. Developing and promoting watercolor painting in Poland and abroad;
    2. Periodic and occasional publishing houses – watercolor painting albums, watercolor painting manuals, etc.;
    3. Regular organisation of individual and collective exhibitions of members of the Association and as part of an international exchange between associations;
    4. Promoting the achievements of painting members of the association in the media in Poland and around the world;
    5. Establishment of the annual National Watercolor Exhibition;
    6. Search for sponsors and recipients of watercolor painting;
    7. Help the Association to members taking part in important competitions and exhibitions;
    8. Organizing fairs and watercolor auctions;
    9. Educational activities: workshop open-air, lectures and seminars;
    10. Promotion and protection of the work of members of the Association;
    11. Cooperation with similar organizations around the world;
    12. International exchange in the framework of open-air;
    13. Organizing joint exhibitions;
    14. Co-ordinated and partnered with other associations and artistic associations in Poland and abroad;
  10. Membership of the Association does not in any case restrict the freedom of members in simultaneous participation in other creative, social or political associations.
  11. Members of the Association may be natural persons with Polish nationality, of Polish origin or the right of permanent residence in Poland.
  12. Members of the Association are divided into:
    1. Ordinary
    2. Supportive
    3. Honorable.
  13. A Ordinary member of the Association may be any natural person who:
    1. It has full legal capacity and is not deprived of public rights,
    2. Submit a member declaration in writing,
    3. He will present an artistic work of watercolor painting.
  14. A Supportive member of the Association may be a natural person declaring financial, substantive or substantive assistance in achieving the objectives of the Association.
  15. A Honorable member of the Association may be a natural person who has made an outstanding contribution to the activities and development of the Association.
  16. Founding members have the status of a member of the ordinary association.
  17. The adoption of the new members shall be adopted by the Association Board by resolution adopted within 14 days from the date of submission/receipt of the Member Declaration.
  18. A Ordinary member has the right to:
    1. Use of the acquis, assets and all forms of activities of the Association;
    2. Participation in meetings, lectures and events organized by the Association;
    3. Reporting conclusions on the Activities of the Association;
    4. Lower fees for participation in competitions, workshops, exhibitions, outdo or spaces and lectures organised by the Association;
    5. Inform them by e-mail of events organised by IWS;
    6. Priority in registration for workshops with watercolor masters.
  19. Ordinary members are obliged to:
    1. Participation in the activities of the Association and the achievement of its objectives;
    2. Comply with the Rules and Resolutions of the Association Authorities;
    3. Regular payment of contributions.
  20. The name of the members of the Association will be included in the list of members on our website www.iwspoland.eu (new members will be added there successively).
  21. Honorable members do not have passive and active electoral law, but they can participate with an advisory vote in the authorities of the Association.
  22. Supportive member is obliged to fulfill the declared benefits, to comply with the statutes and resolutions of the Association authorities.
  23. Supportive members shall be exempt ed from membership contributions.
  24. Honorable members shall be exempt ed from membership fees.
  25. Membership of the Association ceases as a result of:
    1. Written resignation lodged at the hands of the Management Board;
    2. Exclusions by the Management Board:
      1. Due to violations of the rules and non-compliance with the resolutions of the Association authorities;
      2. Because of the notorious and unjustified non-participation in th
        e work of the Association;
      3. Due to unjustified relicity in the fee of membership contributions for a period exceeding half a year;
      4. At least 10 written votes of the Association members;
      5. Loss of civil rights under a final judgment of the court;
      6. Death of a member.
  26. The excluded or deleted person shall have the right to lodge an appeal to the General Meeting of Members within 7 days from the date of service of the resolution in writing. The Meeting of Members shall consider the appeal at the time of the upcoming deliberations and its decision is final.
  27. The association authorities are:
    1. General Meeting of Members;
    2. The Association Board.
  28. The Association’s Board of Directors shall be composed of 2 members:
    1. President of the Association;
    2. Executive Director.
  29. Decisions of the General Meeting of Members shall be taken in an open vote. The meeting may decide to hold a secret ballot.
  30. Resolutions of the General Meeting of Members shall be taken by an ordinary majority by a simple vote, with at least half of the members entitled to vote within the first period and, on the second period, regardless of the number of members present, unless further the provisions of the Statute are different.
  31. Resolutions of the Association Board are taken unanimously.
  32. The General Meeting of Members is the highest authority of the Association, which decides in all matters falling within the scope of the Association’s activities, unless otherwise provided for in the Rules of Procedure.
  33. The competence of the General Meeting shall be m.in:
    1. Selection and appeal of the Management Board;
    2. Enacting amendments to the Rules of Procedure;
    3. Decision-making to disband the Association;
    4. Decision-making and the acquisition of immovable property or perpetual use rights;
    5. Decision-making to establish a limited right in kind;
    6. Decision-making on the conclusion of a loan or loan agreement;
    7. Decision to take over debt, recognition of debt, debt relief, acceding to debt, the conclusion of a guarantee agreement or the conclusion of another similar agreement;
    8. Decision-making to make other commitments exceeding PLN 10,000;
  34. The General Meeting of Members shall be convened by the Management Board or 1/3 of the members of the Association. The General Meeting of Members is headed by the Chairman of the Meeting.
  35. The association is represented by the Board of Directors elected by the General Meeting of Members for a 5-year term. The Management Board may be dismissed by the General Meeting of Members.
  36. The scope of the Management Board’s operation shall include:
    1. Representing the Association outside;
    2. Management of the Association’s assets;
    3. Convening a General Meeting of Members;
    4. Reception and deletion of members of the Association;
    5. Determination of the amount of membership contributions.
  37. A decision exceeding the powers of the ordinary management requires a General Meeting of Members. The decision requires the consent of 2/3 of the Members of the Association with at least 50% of those entitled to vote. These are, in particular,:
    1. Acquisition and disposal of immovable property or perpetual use right;
    2. Establishment of limited substantive law;
    3. Conclusion of a loan or loan agreement;
    4. Taking over debt, recognising debt, debt relief, acceding to debt, concluding a guarantee agreement or entering into another similar agreement;
    5. Borrowing other liabilities exceeding PLN 10,000;
  38. The funds for the activities of associations come from:
    1. Membership contributions;
    2. Grants;
    3. Donations;
    4. Public collections;
    5. Declines, records;
    6. Income from the Association’s assets.
  39. The decision to amend the Rules of Procedure and the dissolution of the Association shall be taken by the General Meeting of Members by a qualified majority of 3/4 in the presence of at least 2/3 of the members entitled to vote. When adopting a resolution on the dissolution of the Association of General Meeting of Members, it shall determine the allocation of the other funds of the Association.
  40. In matters not regulated by these Terms and Conditions, the provisions of the Law on Associations apply.
